General terms & conditions of sale

At Rebel Mounts, a brand of Eco Rebel Furniture B.V., we believe in clear and transparent agreements. Our terms and conditions outline what you can expect from us and what we expect from you when placing an order.

These terms include important information regarding delivery, payment, warranty, and liability, and apply to all offers, agreements, and deliveries of Eco Rebel Furniture B.V.

We recommend that you read these terms carefully to ensure you are fully informed of the applicable conditions.

Article 1 – Definitions

1. Supplier: Eco Rebel Furniture B.V., operating under the name Rebel Mounts.
2. Buyer: any legal entity acting in the course of its business or profession.
3. Products: electric height-adjustable lift systems and accessories.
4. Agreement: any agreement between Supplier and Buyer.

Article 2 – Applicability

1. These terms and conditions apply to all offers and agreements.
2. Deviations are only valid if agreed in writing.
3. Any general terms and conditions of the Buyer are expressly rejected.

Article 3 – Quotations

1. Quotations are non-binding and valid for 14 days.
2. Obvious errors or mistakes are not binding on the Supplier.
3. Specifications and images are indicative only.

Article 4 – Delivery and Incoterms

1. Delivery shall be made EXW/FCA in accordance with Incoterms, unless otherwise agreed in writing.
2. Risk transfers upon delivery.
3. Delivery times are indicative and not binding deadlines.
4. Partial deliveries are permitted.

Article 5 – Installation and Use

1. The Supplier does not perform installation.
2. Installation is the sole responsibility of the Buyer or its customer.
3. Installation must be carried out by qualified personnel.
4. Products must be used in accordance with the manual and safety instructions.

Article 6 – CE and Compliance

1. Products comply with applicable CE directives (including LVD and EMC where applicable).
2. The Buyer is responsible for correct integration and end application.
3. The Supplier is not responsible for compliance with local regulations outside the EU.

Article 7 – Technical Application

1. The Buyer is responsible for correct application and load capacity.
2. Maximum load and specifications must not be exceeded.
3. Compatibility with displays and systems is the responsibility of the Buyer.

Article 8 – Retention of Title (Extended)

1. Ownership of the Products remains with the Supplier until full payment of all claims has been made.
2. The Buyer may not pledge or encumber the Products.
3. The Buyer is obliged to insure the Products.
4. The Supplier is entitled to reclaim the Products in case of non-payment.
5. Resale is permitted within the normal course of business.

Article 9 – Warranty and RMA

1. Warranty applies exclusively to manufacturing and material defects.
2. Warranty period: 5 years.
3. Warranty is void in case of incorrect installation, use, or modification.
4. Repair or replacement shall be the sole obligation of the Supplier.
5. The RMA procedure must be followed.

Article 10 – Liability (Extended)

1. The Supplier shall not be liable for indirect or consequential damages.
2. Liability is limited to the invoice value or a maximum of €25,000.
3. Liability is limited to the coverage provided by the Supplier’s insurance.
4. No liability is accepted for installation, use, or integration.
5. The Buyer indemnifies the Supplier against third-party claims.

Article 11 – Product Liability

1. The Buyer is responsible towards end users.
2. The Buyer shall indemnify the Supplier against all claims.
3. Installation errors fall entirely under the responsibility of the Buyer.

Article 12 – Complaints and Inspection

1. Visible defects must be reported within 7 days.
2. Hidden defects must be reported within 30 days.
3. Use of the Products constitutes acceptance.

Article 13 – Returns

1. Returns are only accepted with prior written approval.
2. Custom-made products are excluded from return.
3. Costs and risks of return are borne by the Buyer.

Article 14 – Prices

1. Prices are exclusive of VAT and transport, unless otherwise agreed in writing.
2. Price adjustments are permitted in case of cost increases.

Article 15 – Payment

1. Payment must be made within 14 days.
2. Statutory commercial interest applies in case of late payment.
3. Collection costs are borne by the Buyer.

Article 16 – Force Majeure

1. The Supplier shall not be liable in cases of force majeure.
2. Obligations shall be suspended during such events.

Article 17 – Termination

1. The Supplier may terminate the Agreement in case of non-payment, insolvency, or increased risk.

Article 18 – Governing Law and Disputes

1. Dutch law shall apply.
2. The competent court in Limburg shall have jurisdiction.

Article 19 – Website and Acceptance

1. Publication on the website constitutes making the terms available.
2. Acceptance is required upon placing an order.
3. The terms are available for download.

In case of discrepancies between language versions, the English version shall prevail.
