Rebel Mounts – General Terms and Conditions of Sale and Delivery

These General Terms and Conditions apply to all quotations, offers, sales, deliveries, services and agreements between Rebel Mounts and its customers.

1. Definitions and Company Information

These General Terms and Conditions apply to all quotations, sales, deliveries and services provided under the trade name Rebel Mounts, a brand operated by Eco Rebel Furniture B.V.

Throughout these Terms and Conditions, the term “Rebel Mounts” shall mean Eco Rebel Furniture B.V., trading under the brand name Rebel Mounts.

Customer means any legal entity or natural person acting in the course of business purchasing products or services from Rebel Mounts.

Products means all mounting systems, height-adjustable lift systems, accessories, spare parts and related products supplied by Rebel Mounts.

2. Applicability

2.1 These Terms and Conditions apply to all quotations, offers, sales, deliveries and services provided by Rebel Mounts.

2.2 Any terms and conditions of the Customer are expressly rejected unless agreed otherwise in writing.

2.3 Deviations from these Terms and Conditions shall only be valid if confirmed in writing by Rebel Mounts.

3. Quotations and Orders

3.1 All quotations are non-binding unless expressly stated otherwise.

3.2 Quotations remain valid for thirty (30) days unless otherwise specified.

3.3 An Agreement is concluded only after written order confirmation by Rebel Mounts or upon commencement of performance.

3.4 Rebel Mounts reserves the right to refuse orders without stating reasons.

4. Prices

4.1 All prices are stated in Euro (EUR), unless otherwise agreed.

4.2 Prices exclude:

  • VAT and other taxes;
  • Import duties;
  • Customs clearance fees;
  • Transportation costs;
  • Insurance costs;
  • Installation services.

4.3 Rebel Mounts reserves the right to adjust prices due to:

  • Changes in raw material costs;
  • Exchange rate fluctuations;
  • Freight increases;
  • Government measures;
  • Force majeure events.

5. Payment Terms

5.1 Unless otherwise agreed, invoices are payable within thirty (30) calendar days from invoice date.

5.2 Payments shall be made without deduction, withholding or set-off.

5.3 In case of late payment:

a. All outstanding invoices become immediately due and payable;

b. Interest may be charged in accordance with the applicable statutory commercial interest rate and applicable debt collection legislation.

c. All collection and legal costs shall be borne by the Customer.

5.4 Rebel Mounts may require advance payment, deposits or credit insurance approval before shipment.

6. Retention of Title

6.1 All Products remain the sole property of Rebel Mounts until full payment of all outstanding amounts has been received.

6.2 Until ownership transfers, the Customer shall:

  • Store the Products separately;
  • Keep the Products identifiable;
  • Not pledge or otherwise encumber the Products.

6.3 Rebel Mounts may reclaim Products for which payment remains outstanding.

6.4 Until ownership has transferred, the Customer shall adequately insure the Products against loss, theft and damage.

7. Delivery

7.1 Delivery dates are estimates only and shall not constitute a strict deadline.

7.2 Delays shall not entitle the Customer to compensation, cancellation or refusal of Products.

7.3 Delivery shall take place according to the Incoterms® 2020 stated in the quotation or order confirmation.

7.4 Risk transfers according to the agreed Incoterm.

7.5 Partial deliveries are permitted.

7.6 Rebel Mounts shall be entitled to suspend deliveries if the Customer fails to comply with any payment obligation or other material obligation under the Agreement.

8. Inspection and Claims

8.1 The Customer shall inspect the Products upon delivery and before installation or use.

8.2 Any visible transport damage, shortages or apparent defects shall be reported in writing to Rebel Mounts as soon as reasonably possible and no later than seven (7) calendar days after delivery.

8.3 Hidden defects that could not reasonably have been discovered during inspection shall be reported in writing within seven (7) calendar days after discovery.

8.4 The Customer shall provide sufficient evidence of the alleged defect, including photographs, serial numbers and a detailed description of the issue.

8.5 The Customer shall not return Products without prior written authorization from Rebel Mounts.

8.6 Failure to notify Rebel Mounts within the periods stated above may affect the Customer’s ability to make a claim, unless mandatory applicable law provides otherwise.

8.7 The Customer shall provide Rebel Mounts with a reasonable opportunity to inspect the Products and investigate the reported defect before any repair, replacement or corrective action is undertaken by the Customer or a third party.

9. Warranty

9.1 Rebel Mounts warrants that Products are free from manufacturing defects under normal use.

9.2 The standard warranty period is:

  • Five (5) years for lift systems and mounting systems;
  • Two (2) years for electrical components and accessories;

unless otherwise stated in product documentation.

9.3 Warranty does not cover:

  • Normal wear and tear;
  • Improper installation;
  • Improper maintenance;
  • Accidents;
  • Abuse;
  • Unauthorized modifications;
  • Use contrary to instructions.

9.4 Rebel Mounts may choose, at its discretion, to:

  • Repair the Product;
  • Replace the Product;
  • Provide replacement parts;
  • Issue a credit for the defective Product.

9.5 Warranty claims must be accompanied by:

  • Invoice number;
  • Serial number;
  • Description of defect;
  • Supporting photographs or videos.
  • All warranty claims shall be submitted through the official Rebel Mounts Service Portal available on the Rebel Mounts website.

10. Returns

10.1 Returns require prior written approval from Rebel Mounts.

10.2 Unauthorized returns may be refused.

10.3 Custom-made, modified or special-order Products cannot be returned unless defective.

10.4 Returned Products must be:

  • Complete;
  • Unused;
  • In original packaging where possible.

10.5 Rebel Mounts reserves the right to charge a restocking fee.

10.6 Transportation costs relating to approved returns shall be borne by the Customer unless otherwise agreed in writing or where the return results from a verified warranty claim.

11. Product Changes

11.1 Rebel Mounts reserves the right to modify specifications, dimensions, materials or designs without prior notice, provided functionality is not materially affected.

11.2 Product images, drawings and specifications are indicative only.

12. Intellectual Property

12.1 All intellectual property rights remain the exclusive property of Rebel Mounts or its licensors.

12.2 The Customer shall not:

  • Copy Products;
  • Reverse engineer Products;
  • Remove trademarks;
  • Use trademarks without written consent.

12.3 All marketing materials, manuals, technical drawings and documentation remain the property of Rebel Mounts.

13. Limitation of Liability

13.1 Rebel Mounts shall not be liable for:

  • Indirect damages;
  • Consequential damages;
  • Loss of profit;
  • Loss of business;
  • Loss of data;
  • Loss of contracts.

13.2 Total liability shall never exceed the invoice value of the affected Products.

13.3 These limitations apply regardless of the legal basis of the claim.

13.4 Nothing in these Terms and Conditions shall exclude or limit liability that cannot be excluded or limited under applicable mandatory law.

14. Force Majeure

14.1 Rebel Mounts shall not be liable for failure or delay caused by circumstances beyond its reasonable control.

14.2 Force majeure includes but is not limited to:

  • Natural disasters;
  • War;
  • Terrorism;
  • Strikes;
  • Pandemics;
  • Supply chain disruptions;
  • Port congestion;
  • Government restrictions;
  • Utility failures.

14.3 During force majeure, obligations are suspended.

15. Compliance and Export Control

15.1 The Customer shall comply with all applicable:

  • Export control laws;
  • Trade sanctions;
  • Anti-corruption laws;
  • Import regulations.

15.2 Products may not be re-exported in violation of applicable laws.

15.3 The Customer shall be responsible for obtaining all permits, licenses and approvals required for importation, resale or use of the Products in the country of destination unless otherwise agreed in writing.

16. Privacy

16.1 Personal data shall be processed in accordance with applicable privacy legislation, including the GDPR where applicable.

17. Governing Law

17.1 These Terms and Conditions are governed exclusively by the laws of the Netherlands.

17.2 The applicability of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.

18. Jurisdiction

18.1 Any dispute arising out of or relating to these Terms and Conditions shall be submitted exclusively to the competent court in Limburg, the Netherlands.

19. Severability

19.1 If any provision is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

20. Entire Agreement

20.1 These Terms and Conditions constitute the entire agreement between Rebel Mounts and the Customer concerning the subject matter hereof.

21. Language

In the event of any discrepancy between translated versions of these Terms and Conditions, the English version shall prevail.
